OptiMerge was created to address a common solution to the need of the partners' clients: offer a pragmatic solution in acquisition of ICT companies. OptiMerge follows a strict methodology with different milestones.

Analyse:
  • Lay the groundwork with a SWOT analysis: risks, limits, opportunities, context, strategy, culture, values and expectations
  • Define a typical profile with expected results: Strategic and Market assessment
  • Inform Key figures within the company of the true motivation behind the acquisition to create acceptance and support
Contact:
  • Identify suitable target companies on the market. Establish a Long List
  • Approach target companies and convince them of the possible opportunity. Start with a due diligence pre-study
  Value:
  • Validate the match between the two parties (offer & demand)
  • Check commercial, human and financial references
  • Establish a short list of target
Decide:
  • Present the shortlist to the acquisition board
  • Define potential results and margins of negotiation
  • Ensure support from Key figures within the company
  • Make a tactical decision about the target companies
Negotiate:
  • Convince target companies of the mutual benefit
  • Presentation of the buying company and its acquisition & merger (integration)strategy
  • Price negotiations and relevant contractual documentation
Realize:
  • Final Negotiations and Due Diligence (HR, FIN, JUR, S&M)
  • Creation of contractual documents: letter of intent, closing support and integration planning
  • Execution and closing dinner
